This Agreement governs the collaboration between Spalding Labs and the Creator for the purpose of promoting Spalding Labs Fly Predators and fly control products through social media and digital content. The Creator agrees to create and share promotional content as outlined below.

The Creator agrees to create and share the following minimum content from March-September 2026:

1-2 videos each month, incorporating Spalding Labs Fly Predators into existing content.

A dedicated video focused on natural fly prevention, including Fly Predators, at the end of the campaign.

2-4 photos each month, sent to Spalding Labs for sharing on social channels and/or website. The Creator may determine the style and content of these images but should ensure Fly Predators are represented in a natural, informative way.

Content must be original, high-quality, and accurately represent Spalding Labs products.

No inappropriate language, drug/alcohol use, smoking paraphernalia, unsafe behavior, or offensive material.

Content must align with Spalding Labs’ brand voice and values as outlined in the campaign brief.

The Creator may continue using other non-branded fly control methods such as outdoor hanging traps and sticky fly paper, as long as they are not promoting or endorsing a competing fly control brand.

The Creator is encouraged to be authentic in their reporting of results, including fluctuations in fly populations, while maintaining a constructive and informative tone.

Content will be posted monthly during the campaign duration. Draft content will be shared with the Spalding Labs team for review at least 1 week prior to posting. If content violates the agreement, brief outline, or negatively represents Spalding Labs, the Creator may be asked to edit content, remove content, or stop the campaign.

Ownership & Reuse: The Creator grants Spalding Labs an exclusive, royalty-free license to use, repurpose, and distribute content for marketing, website, social media, paid advertisements, case studies, and other promotional uses.

Spalding Labs will not sell or transfer the content to third parties without additional permission from the Creator.

The Creator may use the content on their own channels but agrees not to repurpose it for other brand promotions.

Exclusivity: The Creator agrees not to work with direct competitors of Spalding Labs during the campaign period and for 6 months thereafter. Use of general fly control methods such as sticky traps and hanging traps does not violate this clause as long as the Creator is not promoting another brand.

The Creator agrees to follow all applicable laws and Federal Trade Commission (FTC) guidelines for sponsored content, including:

Using clear disclosures such as #ad, #sponsored, or #advertisement in posts.

Tagging Social Media posts with “Paid Partnership” as required.

Accurately representing Spalding Labs products without false or misleading claims.

The Creator must not disclose private business information about Spalding Labs, including strategy, pricing, and customer data.

The Creator agrees not to work with competing fly control brands for 6 months following the campaign.

Spalding Labs may terminate this Agreement if:

The Creator fails to meet content deadlines.

The content quality does not meet brand standards after revisions.

The Creator violates any contract terms, including exclusivity or compliance guidelines.

If the Creator fails to fulfill deliverables, compensation may be withheld or reduced accordingly.

By signing this form, I confirm that I have read and understood the terms outlined above.

I freely and voluntarily give my consent to participate in the service described. I understand the responsibilities, requirements, and any potential risks involved.

I accept the terms and conditions of this agreement and agree to comply with all related rules and policies. I understand that I may withdraw my consent at any time by contacting the organization, recognizing that doing so may affect my ability to continue with the related service or activity.
